Gavin Kogan - Gavin Kogan's practice emphasizes commercial and real estate litigation, and complex business transactions. His clients include technology firms, start-up businesses, asset-based and hard money lenders, venture investors, voluntary out-of-court dissolutions and corporate clients requiring broad-based general counsel services.

Gavin has significant experience in all phases of commercial litigation as well as experience negotiating and drafting complex transactions, including corporate structuring and reorganizations, loan documentation and structuring, leasing, insolvency management, guarantees, real and personal property secured transactions and technology licensing and transfers.

• Provide strategic pre-litigation planning and negotiation.
• Oversee complex commercial litigation from commencement of action through trial, including alternative dispute resolution such as arbitration.
• Provide strategic planning and counsel to creditors, debtors and guarantors regarding corporate, real estate and bankruptcy law aspects of major acquisitions, workouts, bankruptcies and liquidations.
• Representation of landlord creditors in negotiation, mediation and restructuring obligations prior to and in bankruptcy.
• Out-of-court restructuring and liquidation of numerous businesses with significant creditor claims.
• Representation of unsecured and secured creditors pre-bankruptcy and in bankruptcy litigation, such as in preference actions.
• Counsel to technology companies regarding corporate structure, capitalization, finance transactions, intellectual property matters, employee terminations, owner and shareholder disputes, operational conflicts and vendor/customer disputes.
